Wholesale Terms & Conditions

These Wholesale Terms & Conditions (the “Terms”) govern access to and use of the Freezerland NFLD Inc. (“Freezerland NFLD,” “we,” “us,” or “our”) wholesale program and related online ordering services (the “Program”).

By submitting a wholesale application, creating or using a wholesale account, or placing a wholesale order, you agree to these Terms on behalf of yourself and the business you represent. If you do not agree, do not apply for or use the Program.

The Program is intended for registered businesses purchasing for resale or commercial use, including retail and grocery stores, gift shops, restaurants and food service, distributors, hotels, and other trade buyers. Consumer or personal-use accounts are not eligible.

Access requires a completed application and approval by Freezerland NFLD. We may request business information such as a business name, contact details, business type, and business number or tax ID. Applications are typically reviewed within 2–3 business days; timing may vary.

Approval is at our sole discretion. We may approve, decline, or request additional information without obligation to provide a reason. Approval grants a wholesale customer account with access to wholesale pricing and catalog visibility as configured for your account.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Share access only with people authorized to place orders for your business.

You agree to provide accurate, current information and to update it promptly when it changes. Notify us immediately if you suspect unauthorized use of your account.

Wholesale prices, pack sizes, and product availability are shown to approved wholesale accounts on eligible catalog items. Wholesale pricing is not available to retail shoppers or unapproved accounts.

Prices, product assortment, pack sizes, and visibility may change at any time without prior notice. The price displayed at the time you place an order is the price that applies to that order, subject to correction of obvious errors.

Unless otherwise stated, listed wholesale prices are before applicable taxes and shipping.

Wholesale orders require a minimum order subtotal of $5,000 before shipping, unless we agree otherwise in writing. Individual products are sold in packs, jars, bags, cases, and other wholesale units as shown on each catalog item.

All orders are subject to product availability and our acceptance. We may decline, cancel, or limit an order (including for inventory, credit, compliance, or operational reasons). If an item becomes unavailable after you order, we will contact you regarding cancellation, refund, or a mutually agreed alternative where appropriate.

An order confirmation or checkout completion does not guarantee shipment of every line item if stock or fulfillment constraints arise.

Payment is due according to the methods and terms presented at checkout or otherwise communicated by Freezerland NFLD for your account. Available payment options may vary and may change over time.

You are responsible for all amounts due for orders placed under your account, including applicable taxes. We may suspend ordering privileges if payment is overdue or if we reasonably believe there is a risk of non-payment.

Any extended payment, credit, or invoicing arrangements are only binding if confirmed by Freezerland NFLD in writing for your account.

Wholesale shipping is currently calculated as 10% of the order total for eligible destinations across Canada and the United States, unless a different rate is shown at checkout or agreed with you in writing. Shipping rates and service areas may change.

Where offered, store pickup at our Brampton location may be available. Some products (including certain frozen items) may be limited to store pickup and may not be eligible for shipping.

Delivery times are estimates only. Risk of loss and title for shipped goods pass according to the carrier terms and applicable law once goods are tendered for delivery, unless otherwise required by law. You are responsible for providing accurate shipping and contact information.

Product descriptions, images, packaging details, and nutritional or other product information are provided for general reference. We aim for accuracy but do not warrant that all content is complete, current, or error-free. Packaging and formulations may change.

Always review labels on received products for the most current information, especially regarding allergens and ingredients.

Wholesale purchases are intended for legitimate business purposes, including resale or commercial use in your operations. You are responsible for complying with all applicable laws in your jurisdiction, including food handling, labeling, import, tax, and resale requirements.

You may not misrepresent Freezerland NFLD products, brands, or your relationship with us. Nothing in these Terms grants you a license to use our trademarks except as needed to accurately identify products you sell, and always in a manner consistent with honest commercial practice.

We may suspend or terminate wholesale access, or refuse future orders, if you breach these Terms, provide false information, misuse the Program, fail to pay amounts owed, or for any other reason we reasonably consider necessary to protect our business, customers, or the integrity of the Program.

You may stop using the Program at any time. Provisions that by their nature should survive (including payment obligations, liability limits, and governing law) will continue to apply.

To the fullest extent permitted by applicable law, Freezerland NFLD and its owners, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising from or related to the Program or these Terms.

Our total aggregate liability arising out of or related to any order or these Terms will not exceed the amount you paid to Freezerland NFLD for the specific order giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that the courts of Ontario (or such other Canadian forum as we may agree in writing) will have jurisdiction over disputes arising from these Terms, subject to any mandatory consumer or other protections that cannot be waived.

We may update these Terms from time to time. The “Last updated” date at the top of this page will reflect the current version. Continued use of the Program after changes are posted constitutes acceptance of the revised Terms. If you do not agree, discontinue use and contact us to close your wholesale account.

Program details such as minimum order amounts, shipping percentages, and payment options may also change; the terms shown on the site or confirmed for your account at the time of order will control for that order.
